    What are the types of contracts accepted by NCLS Data Solutions?

    The company NCLS Data Solutions only accepts to sign two types of contracts as listed below:  

    • Service Support-Based Contract (daily/hourly rates) 
    • Project Commission-Based Contract (one payment) 
      • Recruitment 
      • Training
      • Full Project

    Regarding the Support-Based Services Contract, does NCLS Data Solutions agree to sign a contract of any duration with its end customers?

    No. NCLS Data Solutions accepts to only sign service support-based contracts for a minimum period of six (6) months (= one hundred and twenty (120) days) of services that must be provided in the first eight (8) months.

    A client requires to establish and sign a Support-Based Services Contract respecting a period of eight (8) months or one hundred sixty (160) days of services? Does NCLS Data Solutions accept to sign the contract?

    No. NCLS Data Solutions accepts to only sign a Support-Based Services Contract with the corresponding durations as described below: 

    Duration  From the start date of the contract, the services must be provided in the next… 
    Months  Days 
    6  120  8 Months 
    12  240  14 Months 
    18  360  22 Months 
    24  480  28 Months 

     

    Any other Support-Based Services Contract with another duration is refused by NCLS Data Solutions.

    Does another duration can be negotiable?

    No. Other duration can’t be negotiable.

    Can the client close the Support-Based Services Contract before the end date mentioned in the contract?

    Yes. The client can close the contract. In that case, two situations can appear: 

    • The client closes the contract before the end contractual date. The final duration of the provided services is less than the duration of services (written as initial in the contract). In that case, the Client is subjected to pay penalties fees (see the next section of the document for the penalties fees descriptions).  
    • The client closes the contract before the end contractual date. The final duration of the provided services is equal or superior to the duration of services (written as initial in the contract). In that case, the Client does not pay penalties fees.

    What is the notice period that must be mentioned in the Support-Based Services Contract?

    The notice period that must be mentioned in the Support-Based Services Contract (any duration, from 6 to 24 months) is: 

    • From 00 to 03 months of service provided: 15 calendar days of notice period.
    • From 03 to 06 months of service provided: 30 calendar days of notice period.
    • From 06 to 12 months of service provided: 45 calendar days of notice period.
    • From 12 to 24 months of service provided: 60 calendar days of notice period.

    Can the Support-Based Services Contract notice period be changed?

    Yes. The change of duration of the notice period can be changed. It must be approved by both parties (The Client and The Provider) through an agreement document. This document must be dated, stamped, signed and must mention the new duration of the notice period.

    Regarding to the Service Support-Based Contract, what areas of expertise should be highlighted in the description of the services?

    The areas of expertise that must be highlighted in the support services contract are: Business Intelligence, Data Science, Project Management, Web, Training.

    What is the location that should be mentioned in the Service Support-Based Contract?

    As an international IT consulting company, NCLS Data Solutions accepts to sign the Service Support-Based Contract Contract with any type of customer based in most of the countries of the world.

    Does NCLS Data Solutions accepts to sign a Service Support-Based Contract with a non-disclosure clause included in the contract?

    Yes.

    Does NCLS Data Solutions accepts to sign a Service Support-Based Contract with a non-competition clause mentioned in the contract?

    Yes. The non-competition clause must be restricted to the country of location of the client.

    Does the Service Support-Based Contract must mention an obligation of result related to the delivery of a final solution?

    No. Unlike the Service Project-Based Contract which corresponds to a contract of engagement, the Service Support-Based Contract corresponds to a support services service.

    In the case of a Service Support-Based Contract, what are the criteria used by NCLS Data Solutions to define a daily/hourly price?

    The criteria that can be used to define a daily/hourly price are listed below: 

    • Level of complexity of the project. 
    • Experience level required.
    • Duration of the contract.
    • Area of expertise.
    • Location.

    What are the payment frequencies approved by NCLS Data Solutions?

    Regarding to a Service Support-Based Contract: 

    • Payment Monthly (Payment during the Month N for the services provided Month N-1)
    • Payment 50/50 (50% of the total amount at the start date and 50% at the end)
    • Payment One Time (100% of the total amount at the start) 

    Regarding to a Recruitment Commission-Based Contract: 

    • Payment One Time

    Can NCLS Data Solutions apply a discount on the total contractual amount if the Client choose the payment frequency: Payment 50/50 or Payment One Time?

    Yes. A discount must be applied. The discount amount can be discussed during the meetings.

    Can the Client change the payment frequency after having signed the Service Support-Based Contract?

    Yes, the Client can request for a change of payment frequency subjected to fees of 1000$ per change request. The client must: 

    • Send a service request document to NCLS Data Solutions.
    • Receive a undertaking letter sent by the company NCLS Data Solutions.

    Regarding to a Service Support-Based Contract, what are the penalties charges if the client decides to close the contract before the end date of the contract and if there are still missing days to work?

    The penalty fees are listed in two categories: 

    Penalty Fees – Contract Closure Before Contractual End Date 

    • If the number of days missing to work is equal to 15 days or less: (Sum (Daily Rate x Number Missing Work Days)) x 10%.
    • If the number of missing days to work is between 15 days and 30 days: (Sum (Daily Rate x Number Missing Work Days)) x 20%.
    • If the number of days missing is between 30 and 60 days: (Sum (Daily Rate x Number Missing Work Days)) x 30%.
    • If the number of days missing is equal or superior to 60 days: (Sum (Daily Rate x Number Missing Work Days)) x 50%. 

    Penalty Fees – Recalculation Amount Due/Requested to Final Client 

    • Administrative Charge: 2000$. 
    • Re Calculation: 500$. 

    In the case if the Client closes the Service Support-Based Contract and if the Client had chosen the payment frequency Payment 50/50 or Payment One Time A, Penalty Fees – Contract Closure Before Contractual End Date + Penalty Fees – Recalculation Amount Due/Requested to Final Client are applied.

    Regarding to a Service Support-Based Contract, what is the duration of payment accepted by NCLS Data Solutions?

    In the context of a Service Support-Based Contract, the duration of payment must be between 1 and 30 calendar days after the date of issue of the invoice.

    Regarding to a Service Support-Based Contract, can discount(s) be applied on the initial established daily/hourly rate?

    Yes. NCLS Data Solutions can apply discounts.

    What payment methods are accepted?

    For any type of contract signed with the customer, the payment methods accepted by NCLS Data Solutions are: 

    • Banking Transaction
    • Card Payment Through Online Platform

    The payment methods such as Cash or Cash Mandate (Western Union) are not accepted.

    If the customer must make an international payment, can NCLS Data Solutions DMCC take into account the payment bank charges?

    Yes.

    Does NCLS Data Solutions DMCC apply a supplementary percentage charge on the initial internal established daily/hourly rates if the services (requested by the Client) must be provided in two (2) or more linguistic language?

    Yes.

    Does NCLS Data Solutions ask a SWIFT receipt document to the Client?

    Yes. It can appear in some situations.

    What are the currencies of payment approved by NCLS Data Solutions?

    The currencies approved are: EUR and USD.
